New Ventures Group AG invests in early-stage companies and works with founders, investors, partners and service providers in an environment where trust, confidentiality, professionalism and sound judgement are essential.
Our approach
Our governance principles describe how we act, communicate and make decisions. They apply to our employees, officers, advisors, contractors and other persons acting for or on behalf of New Ventures Group AG.
We do not view governance as a formal exercise. We see it as the basis for reliable business relationships, disciplined processes and long-term value creation.
Integrity
We act honestly, carefully and in good faith. We avoid misleading statements, exaggerated promises and any communication that could create an inaccurate impression of opportunities, risks or responsibilities.
Professionalism
We work reliably, carefully and with the aim of performing our duties correctly and on time. Risks, errors, delays or uncertainties are addressed internally and handled appropriately.
Confidentiality
We protect non-public information relating to New Ventures Group AG, its group companies, portfolio companies, investors, partners, employees, candidates, projects, transactions, technology, contracts and internal processes.
Confidential information is used only for legitimate business purposes and shared only with persons who have a genuine need to know.
Respect
We maintain respectful, fair and professional relationships with employees, founders, investors, partners, candidates, service providers and other third parties.
Discussion and different views are part of good decision-making. They must, however, remain factual, constructive and respectful.
Accountability
We take responsibility for our decisions, actions, communications and work results. Documents, records, investor information, financial data, CRM entries and other business records must be accurate, complete and not misleading.
Compliance and regulatory discipline
New Ventures Group AG complies with applicable legal, regulatory, contractual and internal requirements. These include, where relevant to our activities, rules relating to financial services, advertising, data protection, confidentiality, anti-money laundering, sanctions, anti-bribery, unfair competition, intellectual property and taxation.
Where there is uncertainty, internal guidance is sought before action is taken. Formal regulatory, legal, banking or audit-related matters are coordinated with management.
Investor and public communications
We are committed to clear, true, complete and non-misleading communication.
Investor documents, marketing materials, presentations, website content and external statements must be consistent with the relevant documents, terms and selling restrictions. For bonds and other investment opportunities, the relevant information prospectus or offering document is authoritative.
We do not use statements that downplay risks or create an inaccurate impression of safety, liquidity, guarantees, capital protection or deposit protection. Our internal Advertising Guidelines require, among other things, that advertising is labelled as marketing communication, that the relevant information prospectus and bond terms are referenced, and that terms such as "safe", "guaranteed", "risk-free", "capital-protected", "fixed deposit", "deposit", "bank product" or "FINMA-approved" are avoided. We do not provide personal investment advice, tax advice or legal advice to investors unless expressly authorised and legally permitted.
Conflicts of interest
Conflicts of interest may arise where personal, financial, family or other interests could influence, or appear to influence, professional judgement.
New Ventures Group AG expects actual, potential or perceived conflicts of interest to be disclosed at an early stage. This may include outside activities, shareholdings, family or personal relationships, external mandates, compensation arrangements, introducer relationships or business relationships with partners, investors or portfolio companies.
Conflicts of interest are reviewed internally and handled in a way that supports fair, appropriate and independent decision-making.
Anti-bribery, gifts and financial integrity
New Ventures Group AG does not tolerate bribery, corruption, kickbacks or improper benefits.
Gifts, hospitality and business benefits may only be accepted or offered if they are reasonable, transparent, lawful and not capable of improperly influencing business decisions.
Payments, invoices, expenses, compensation arrangements, contracts and financial commitments must be properly documented, traceable and internally approved. Concerns relating to financial irregularities, money laundering, sanctions or improper payments are escalated internally.
Data protection and information security
We process personal data carefully, lawfully and only for legitimate business purposes. This includes data relating to employees, candidates, investors, business partners, founders, service providers and other contacts.
Personal data and confidential information are collected, used, stored and shared only where necessary and permitted. We apply the need-to-know principle and protect information against unauthorised access, loss, misuse and improper disclosure.
Suspected data loss, unauthorised access, misdirected communications or other data protection or security incidents must be reported internally without delay.
Responsible use of technology and AI
Technology and artificial intelligence can support our work, but they do not replace professional judgement, legal review, compliance processes or management decisions.
Confidential information, personal data, investor data, contracts, internal financials, source code, legal documents or business-sensitive information must not be entered into external AI tools or non-approved systems unless expressly authorised.
AI-generated content must be reviewed carefully. Responsibility for accuracy, legality and appropriateness remains with the persons using it.
Partner and distribution standards
New Ventures Group AG expects external partners, introducers, service providers and distribution partners to act professionally, lawfully and with integrity.
Partners involved in investor relations, capital raising, advertising or distribution must comply with applicable regulatory requirements, selling restrictions, target market rules, disclosure obligations and documentation requirements.
Improper advertising, misleading statements, non-approved materials, unauthorised cross-border solicitation or communication outside approved target markets are not acceptable.
Reporting concerns
Concerns regarding unlawful, unethical, misleading or otherwise improper conduct may be reported confidentially to New Ventures Group AG at compliance@nvg.ag.
Reports are reviewed carefully. Persons who raise concerns in good faith should not suffer disadvantage for doing so.
